Terms of Service
Effective date: [EFFECTIVE DATE]
These Terms are an agreement between you and [COMPANY LEGAL NAME] ("RythmoLabs", "we", "us") for use of the RythmoLabs platform. Part A applies to everyone. Part B applies to studios that subscribe. Part C applies to parents, guardians and other family users. By creating an account or using the service you agree to these Terms and acknowledge our Privacy Policy.
Part A: Everyone
1. The service
RythmoLabs is software that lets dance and activity studios run registration, scheduling, attendance, billing, waivers, events, a store and family communication, and lets families manage their participation through a parent portal.
2. Accounts
- You must be at least 18 and able to form a binding contract. Children do not have accounts; a parent or guardian manages each child's information.
- Give accurate information and keep it current. Keep your password confidential; you are responsible for activity on your account.
- Tell us promptly at [privacy@COMPANY.com] if you believe your account has been compromised.
3. Acceptable use
You will not:
- Break the law, infringe others' rights, or upload content you have no right to share.
- Upload malware, probe or attack the service, bypass security or tenant separation, or access another studio's or family's data.
- Scrape the service, or resell it except as these Terms allow.
- Send spam or messages recipients have not agreed to receive, or use SMS in breach of carrier rules or consumer protection law.
- Harass anyone, or collect information about children except as a parent, guardian or authorized studio staff member.
We may suspend accounts that break these rules or put the service, other users or children at risk.
4. Content and data
You keep ownership of the content and data you put into the service. You give us the rights we need to host, process and display it to provide the service, as described in the Privacy Policy and, for studios, the Studio Data Processing Addendum. Feedback you give us may be used without obligation.
5. Payments through Stripe
Payments between families and studios (tuition, fees, tickets, store orders) are processed by Stripe through each studio's own Stripe account (Stripe Connect). The studio is the merchant of record: it sets prices, refund and cancellation policies, and is responsible for the goods and services it sells. RythmoLabs is not a party to those transactions. Stripe's Connected Account Agreement and services agreement also apply. We may receive a platform fee on these payments, as described in Part B.
6. Changes to the service and these Terms
We may update the service and these Terms. For material changes to these Terms we will update the version date and ask you to accept the new version when you next sign in. If you do not agree, stop using the service.
7. Disclaimers
The service is provided "as is" and "as available". To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee the service will be uninterrupted or error free. Studios, not RythmoLabs, are responsible for their classes, premises, staff and instruction.
8. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits or data, and our total liability arising out of these Terms is limited to [the amounts you paid us in the 12 months before the claim / USD 100 for users who paid nothing]. [COUNSEL TO SET caps, carve-outs and mutuality.]
9. Indemnity
[COUNSEL TO DRAFT: studio indemnity for its services, content and data collection practices; scope of any RythmoLabs indemnity.]
10. Termination
You may stop using the service at any time and delete your account in the app or by contacting us. We may suspend or terminate access for breach of these Terms, non-payment, or to protect the service or others. Sections that by their nature should survive termination do so.
11. Governing law and disputes
These Terms are governed by the laws of [GOVERNING LAW STATE], without regard to conflict-of-laws rules. [COUNSEL TO DECIDE venue, arbitration and class-action waiver, and consumer carve-outs for parents.]
12. General
These Terms, together with any order form and, for studios, the Studio Data Processing Addendum, are the entire agreement on this subject. If a provision is unenforceable, the rest remains in effect. We may assign these Terms in connection with a merger or sale of assets. Notices to us go to [ADDRESS] and [privacy@COMPANY.com].
Part B: Studios
13. Subscription and trial
- Studios subscribe to a plan (for example Starter, Growth or Scale) with the features and limits shown at signup or in the app. New studios start with a free trial of [30] days.
- Subscription fees are billed in advance through Stripe to the payment method on file and are non-refundable except where required by law or stated otherwise.
- If a payment fails, we will notify you and retry. If the account stays past due for [7] days, we may suspend access until payment is made.
- We may change prices with at least [30] days' notice, effective at your next billing period.
14. Payments to your studio and platform fee
- To accept payments you must connect a Stripe account and complete Stripe's onboarding. Payouts are made by Stripe to your account.
- We charge a platform fee on payments processed through the service, currently [1]% of each charge unless your plan or order form says otherwise, deducted automatically via Stripe. Stripe's own processing fees also apply.
- You are responsible for your prices, taxes, refunds, chargebacks and disputes, and for your relationship with your families.
15. Your responsibilities for family and student data
- You are responsible for having a lawful basis and any notices and consents required to collect and use family and student data, including parental consent for children's information. The parent portal's consent flow helps you collect and record that consent; when your staff create student records directly, you confirm you have obtained the parent's consent.
- You will give staff access only as they need it and remove access when it is no longer needed.
- You will send SMS and email only to people who have agreed to receive it, and honor opt-outs.
- The Studio Data Processing Addendum, which you accept at signup, governs how we process this data for you.
16. Ending your subscription
You may cancel at any time; cancellation takes effect at the end of the current billing period. You can export your studio's data before and for [30] days after the subscription ends, after which we delete it as described in the Studio Data Processing Addendum.
Part C: Parents, guardians and family users
17. Your relationship with the studio
Your studio provides the classes and sets its own prices, schedules, policies, waivers and refund rules. RythmoLabs provides the software. Questions about classes, charges or refunds go to your studio.
18. Children's information
You may add a child only if you are their parent or legal guardian. When you add a child you consent to the studio collecting and using the child's information as described in the Privacy Policy. You can edit the information, or withdraw consent and have it deleted, from the child's profile.
19. Payments and autopay
When you pay a studio, or authorize recurring or automatic payments, you authorize the studio, through Stripe, to charge your payment method for the amounts shown. You can manage saved payment methods and autopay in the parent portal. Disputes about charges should go to the studio first.
20. Messages
By giving a phone number, you agree that your studio may send you SMS about classes, billing and announcements through the service. Message and data rates may apply. Reply STOP to opt out, or HELP for help.
